TERMS OF USE AGREEMENT

YOU MUST READ AND ACCEPT THIS AGREEMENT BEFORE USING THE SITE

1. ACCEPTANCE OF THE TERMS OF USE

This Terms of Use Agreement (“Agreement”) sets forth the terms and conditions that apply to your use of the websites located at www.spendgrowgive.com and www.tilefinancial.com (together, the “Site”) and the Site’s tools, functions and features (collectively the “Services”). The Site is owned and operated by TILE Financial Inc., a Delaware corporation (“TILE”). UBS Financial Services Inc. (“UBS”) pays a fee to TILE for expenses relating to the delivery of membership Services to clients. The terms of this Agreement apply whether you are a user who has registered with TILE (a “Member”) or a visitor to the Site.

By checking the “I Agree to the Terms of Use Agreement” box, you accept and agree to be bound by all of the terms and conditions of this Agreement, as modified by UBS Financial Services Inc. (“UBS”) from time to time in its sole discretion (see “Miscellaneous” section below).

IF YOU DO NOT CHECK THE “I AGREE TO THE TERMS OF USE AGREEMENT” BOX, YOU MAY NOT BECOME A MEMBER AND YOU MAY NOT USE THE SITE OR THE SERVICES FOR ANY PURPOSE.

If you are a minor, you may not use the Site or the Services unless you have your parent or legal guardian agree to the terms of this Agreement and execute the UBS Financial Services Inc. Authorization and Terms of Use for Minor to Access Websites on your behalf.

To maintain a proper record of this Agreement between you and UBS, you should save or print a copy of this Agreement before proceeding.

2. UBS INFORMATION DISPLAYED ON THE SITE

UBS account, transaction and holdings information is displayed at your request, is presented for information purposes only and is current as of the date indicated. Note that the information shown may not include all of your UBS accounts. Your UBS account statements are your official record of holdings, balances, transactions, securities values and gain/loss information. For specific inquiries regarding your UBS accounts, you should speak directly with your UBS Financial Advisor. The asset allocation shown is based on UBS information but reflects the classification methodology of a third party selected by TILE. Past performance does not guarantee future results.

No feature of the Services shall constitute an offer or solicitation with respect to the purchase or sale of any product or security.

3. NO TAX OR LEGAL ADVICE

UBS and its Financial Advisors do not provide tax or legal advice. To the extent that content provided on the Site or through a link or attachment concerns tax matters, it is not intended to be used and cannot be used by a taxpayer for the purpose of avoiding penalties that may be imposed by law. Any such taxpayer should seek advice based on the taxpayer’s particular circumstances from an independent tax advisor.

4. CONTENT PRESENTED ON TILE SITE

UBS and TILE are not affiliated entities. UBS will not review or verify the content that TILE may post or link to on the Site and you agree that UBS is not responsible for any of the information that is presented or linked to on the Site, including any error or inaccuracies.

5. INDEMNIFICATION

You agree to indemnify, defend and hold harmless UBS and its Financial Advisors from and against any and all claims, losses, obligations, damages, costs and expenses, including but not limited to attorney’s fees and costs, to the extent arising out of your use of the Site and/or the Services.

6. MISCELLANEOUS

UBS may update, change and modify this Agreement at any time without prior notice to you. Your continued use of the Site and/or the Services shall be deemed as acceptance of the revised Agreement. You agree that it is your responsibility to periodically check this Agreement for any such revisions and it is not UBS’ responsibility to notify you for such revisions.
